These Merchant Terms of Service (the “Agreement” or “Merchant Terms”) govern SpeedyFly’s provision of merchant‑facing services to you, the Merchant / developer (“Merchant,” “you,” or “your”), including API and orchestration tools, KYC/KYB onboarding, and—where enabled—Merchant of Record (“MoR”) resale services.

By creating a Merchant Account, accessing the SpeedyFly platform, integrating our APIs, or otherwise using the Service, you agree to these Merchant Terms, our Privacy Policy, and any policies we reference that expressly form part of this Agreement (including our AML/CTF and acceptable‑use rules), as updated from time to time.

02Nature of the Website and the Service

2.1 B2B merchant platform

SpeedyFly’s Website and platform are directed at businesses (B2B). We provide tools for Merchants to integrate technical interfaces, orchestrate acquiring/payment channels through SpeedyFly and its partners, complete KYC/KYB, and—where MoR is enabled—sell Products through SpeedyFly as Merchant of Record.

2.2 Where checkout occurs

Buyer checkout typically occurs on the Merchant’s own website or application (or a SpeedyFly‑hosted checkout component embedded there). SpeedyFly’s marketing Website itself is not the primary storefront for end‑customer product catalogs.

2.3 MoR role (when enabled)

Where MoR services are enabled for your account:

  • SpeedyFly (Supay America Technology LLC DBA SpeedyFly) enters into the sales contract with the Buyer in its own name as seller / Merchant of Record / reseller.
  • You remain responsible for fulfilling the Product (delivery, access, support quality, legality, and performance).
  • Card statements, receipts, and descriptors for MoR Transactions will identify SpeedyFly / Supay America Technology LLC (or a clear SpeedyFly descriptor approved with our acquiring partners) as the seller of record, consistent with partner requirements that the MoR appear on the cardholder statement and receipt.
  • SpeedyFly may calculate, collect, and remit applicable indirect taxes (e.g., sales tax / VAT / GST) on MoR sales where SpeedyFly is legally required or contractually responsible to do so. You remain responsible for your own direct taxes on Payouts (income / corporate tax, etc.).

2.4 Non‑MoR / technical services

Where MoR is not enabled, SpeedyFly may provide API, orchestration, KYC, or referral/technical services only. In that case SpeedyFly is not the seller of record for Buyer purchases, and settlement/descriptor arrangements follow the applicable schedule and partner agreements. Do not assume MoR applies unless your Merchant Account or order form expressly enables it.

2.5 No unlicensed‑money‑transmitter claim

SpeedyFly provides MoR reseller and technical services in cooperation with licensed acquirers, processors, and banking partners. These Merchant Terms do not claim that SpeedyFly holds any particular money‑transmitter, banking, or payment‑institution license. SpeedyFly will comply with applicable law and with requirements of its acquiring and processing partners. Licensing and exemption analysis is subject to counsel review.

03Account Registration and Eligibility

The Service is for businesses and authorized representatives who can bind the Merchant.

You must provide accurate Merchant Information (legal name, registration details, tax IDs, beneficial ownership as required for KYB, URLs, product descriptions, banking details, and contacts) and keep it updated.

You are responsible for safeguarding API keys, passwords, and all activity under your Merchant Account and sub‑accounts.

SpeedyFly may refuse, suspend, or terminate access based on risk, compliance, partner requirements, or suspected misuse.

04SpeedyFly Responsibilities (MoR‑enabled accounts)

Subject to these Terms and partner constraints, SpeedyFly will use commercially reasonable efforts to:

  • Act as MoR / reseller for approved Products and Transactions;
  • Facilitate payment collection via acquiring/processing partners;
  • Issue Buyer invoices/receipts where SpeedyFly’s MoR model requires;
  • Handle applicable indirect tax collection/remittance for MoR sales as described in Section 9;
  • Operate fraud, AML/sanctions screening, and risk controls consistent with SpeedyFly policies and partner rules;
  • Provide Merchant dashboard access, reporting, and Payouts per Section 8;
  • Provide Buyer‑facing support channels for MoR payment/billing issues (Product fulfillment support remains primarily yours—see Section 5).

05Merchant Responsibilities

You are solely responsible for:

  • Product fulfillment — delivery, access credentials, SLAs, quality, safety, and ongoing availability;
  • Product legality — IP rights, licenses, consumer‑law compliance, advertising claims, age gates, and sector licensing where required;
  • Buyer disclosures — before checkout, clearly disclosing that SpeedyFly / Supay America Technology LLC is the Merchant of Record / seller of record for MoR Transactions; linking SpeedyFly Buyer Terms, Privacy Policy, and refund policy; and presenting accurate Product terms;
  • Support — first‑line Product support; cooperating with SpeedyFly on refunds, Chargebacks, and Buyer complaints;
  • Accuracy — Product catalogs, pricing recommendations, tax categorizations, URLs, and Merchant Information;
  • No unauthorized processing — no transaction laundering / factoring; no processing for undisclosed third parties or unapproved Products/URLs;
  • Taxes on Payouts — your own direct tax obligations;
  • Cooperation — timely responses to KYC/KYB, RFI, dispute evidence, and audit requests (generally within five (5) business days unless a shorter network deadline applies).

Conflict rule: if your Product‑specific terms conflict with these Merchant Terms or SpeedyFly’s Buyer Terms regarding MoR sales, SpeedyFly’s terms control for MoR Transactions.

06KYC/KYB, Monitoring, and Prohibited Categories

6.1 Verification

SpeedyFly applies a risk‑based KYC/KYB program. Live processing may be withheld until verification is complete. You authorize SpeedyFly and its vendors to verify identity, ownership, sanctions/PEP status, adverse media, bank ownership, and website/product integrity.

6.2 Ongoing monitoring

SpeedyFly may continuously monitor URLs, Products, transaction patterns, Chargeback/refund rates, and sanctions lists. You must notify SpeedyFly at least thirty (30) days before material changes to Products, URLs, ownership, or business model (or promptly if thirty days is not practicable for urgent legal/security reasons).

6.3 Prohibited Products (non‑exhaustive)

Aligned with SpeedyFly’s AML/CTF Policy (entity name in that draft to be corrected to Supay America Technology LLC d/b/a SpeedyFly), SpeedyFly does not permit, among others:

  • Illegal goods/services; counterfeit or IP‑infringing materials;
  • Arms, weapons, and ammunition dealers;
  • Illegal or counterfeit pharmaceuticals; illegal supplements;
  • CBD/hemp oil products (unless expressly pre‑approved in writing where lawful);
  • Contraband tobacco; designer drugs;
  • Illegal or miscoded online gambling;
  • Prohibited pornography (including CSAM and non‑consensual content);
  • Unlicensed/unregulated financial services intermediaries; money changers;
  • Animal sales of the types listed as prohibited in SpeedyFly’s AML policy;
  • Any other category prohibited by law, Card Networks, or SpeedyFly’s acquiring partners.

Restricted / high‑risk categories (including crypto/FX trading, dating, certain adult content, travel ticketing, alcohol, jewelry/precious metals, certain telemarketing/VOIP, and online medication) require prior written Risk approval and may be declined.

6.4 Sanctions

Zero tolerance for sanctioned parties or comprehensively sanctioned territories. SpeedyFly may block, freeze, or exit relationships as required by OFAC and other applicable sanctions regimes.

07Fees

Service Fees (percentage + per‑Transaction and other fees) are set in the Fee Schedule or commercial order form. SpeedyFly may update fees with reasonable notice. Taxes on Service Fees, FX markups, payout fees, and network penalty pass‑throughs may apply as disclosed.

08Payouts, Holding Period, and Reserve

8.1 Payouts

Payout timing, currency, minimum thresholds, and mechanics are as stated in your Merchant Account or Fee Schedule. Payouts equal gross MoR collections less Service Fees, SpeedyFly‑collected indirect taxes (where applicable), refunds, Chargebacks, Reserves, set‑offs, and other amounts owed.

8.2 Holding period

Funds may be held for a risk/settlement period before becoming available for Payout

8.3 Reserve

SpeedyFly may establish a rolling or fixed Reserve based on risk (Chargeback history, refund rate, vertical, volume, geography, partner requirements). After suspension or termination, instructed by our partners including but not limited to acquirers/card schemes SpeedyFly may retain a post‑termination Reserve for a commercially reasonable period (illustratively up to one hundred eighty (180) days after the last Transaction or end of related subscriptions, subject to partner rules).

8.4 Exceptional holdback

SpeedyFly may immediately hold Payouts if it reasonably suspects fraud, material breach, sanctions risk, or if required by law, regulators, processors, or Payment Scheme Rules.

8.5 Set‑off and negative balance

SpeedyFly may set off amounts you owe against Payouts or Reserves. If balances go negative, you must fund the shortfall within five (5) business days of demand. This obligation survives termination.

09Taxes and Buyer Invoicing (MoR)

For MoR Transactions:

  • SpeedyFly is responsible for calculating, collecting, and remitting applicable indirect taxes on the sale to the Buyer where SpeedyFly is the seller of record and legally required or contractually undertaking that role;
  • SpeedyFly (or its systems) issues Buyer‑facing invoices/receipts for MoR sales;
  • You must not separately invoice Buyers for the same MoR Transaction or collect duplicate payment;
  • You must keep tax residency and tax ID data accurate;
  • You remain responsible for direct taxes on amounts SpeedyFly pays you.

Tax configuration details, nexus positions, and filing registrations remain subject to tax counsel

10Refunds and Chargebacks

Because SpeedyFly is MoR for covered Transactions:

  • You must not pay Buyers refunds “off‑platform” for MoR sales; notify SpeedyFly so SpeedyFly can process the refund through the payment channel where appropriate.
  • SpeedyFly may refund or cancel Transactions where required by law, networks, suspected fraud/error, Chargeback risk mitigation, or SpeedyFly’s Refund & Dispute Policy / Buyer Terms.
  • You reimburse SpeedyFly for refund/Chargeback principal, associated fees, and reasonable dispute administration fees.
  • Excessive Chargebacks (e.g., Chargeback Ratio above partner/network thresholds such as approximately 1% with minimum count over a rolling period) may trigger reserves, method/product suspension, or termination.
  • You must supply dispute evidence promptly. Failure may result in SpeedyFly accepting the Chargeback and recovering amounts from you.

See also the SpeedyFly Refund & Dispute Policy and Buyer Terms.

11Intellectual Property and Branding

SpeedyFly grants you a limited, non‑exclusive, non‑transferable license to use the Merchant dashboard and approved SpeedyFly marks for disclosing MoR checkout, subject to brand guidelines.

You grant SpeedyFly rights necessary to resell/facilitate access to Products and to use your marks for MoR sales, receipts, and support.

Except for limited licenses, each party retains its IP. You warrant Products and marks do not infringe third‑party rights.

12Confidentiality

Each party will protect the other’s non‑public Confidential Information with reasonable care and use it only to perform under this Agreement, except for information that is public, independently developed, or rightfully received from a third party without duty. Compelled disclosures are permitted with notice where legally allowed.

13Data Protection

SpeedyFly processes Merchant personal data as described in the SpeedyFly Privacy Policy. Roles for Buyer personal data and card data depend on the integration and processor setup; payment card data is typically handled by acquiring/processing partners. Where required, the parties will execute a Data Processing Addendum (DPA).

You must present SpeedyFly Privacy Policy links where Buyers interact with MoR checkout and comply with applicable privacy laws for data you collect on your sites.

14Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. SPEEDYFLY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. SpeedyFly does not endorse or control your Products and does not guarantee uninterrupted service, approval by any acquirer, or dispute outcomes.

15Limitation of Liability and Indemnity

15.1 Cap

EXCEPT FOR THE UNCAPPED ITEMS BELOW, EACH PARTY’S AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE SERVICE FEES ACTUALLY PAID BY YOU TO SPEEDYFLY IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15.2 Exclusions

NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, TO THE EXTENT PERMITTED BY LAW.

15.3 Uncapped carve‑outs

Nothing limits liability for: fraud; death/personal injury caused by negligence where not excludable; your payment/reimbursement/negative‑balance/indemnity obligations; confidentiality breach; IP infringement by a party of the other’s rights; or liability that cannot be limited by law.

15.4 Merchant indemnity

You will indemnify SpeedyFly and its affiliates, officers, and partners against claims, losses, and expenses arising from Products, your sites/content, your breach, your unlawful conduct, inaccurate Merchant Information, Buyer claims about fulfillment/quality, and third‑party IP claims relating to Products or your marks.

15.5 SpeedyFly indemnity

SpeedyFly will indemnify you against third‑party claims arising from SpeedyFly’s gross negligence, willful misconduct, or payment‑processing errors solely attributable to SpeedyFly (excluding partner outages and your instructions).

16Changes

SpeedyFly may amend these Merchant Terms with notice via email or Website posting (generally thirty (30) days for material adverse changes, except changes required by law or partners, which may be earlier). Continued use after the effective date constitutes acceptance. If you object, your remedy is to stop using the Service and close your account subject to surviving obligations.

17Term, Suspension, and Termination

This Agreement starts when you accept it or first use the Service and continues until terminated. Either party may terminate for convenience on notice as stated in your order form [TO CONFIRM: notice period], and SpeedyFly may suspend or terminate immediately for breach, failed compliance, fraud risk, partner direction, or legal requirement. Upon termination you must stop using the Service; Payouts remain subject to Reserves and set‑off; surviving clauses remain in force.

18Governing Law and Disputes

These Merchant Terms are governed by the laws of the State of Colorado, United States, without regard to conflict‑of‑law rules, consistent with SpeedyFly’s Colorado LLC formation.

Dispute resolution: The parties will first attempt informal resolution for thirty (30) days. Thereafter, disputes shall be resolved in the state or federal courts located in Colorado, USA, unless the parties agree in writing to arbitration. Each party consents to such venue for non‑arbitrated claims. Alternative for counsel: ICDR / AAA arbitration seated in Denver, Colorado.

Nothing prevents SpeedyFly from seeking injunctive relief for IP, confidentiality, or misuse of the Service.

19Representations

You continuously represent that: you are duly organized and authorized; you have rights to offer and grant MoR resale rights for Products; Products are not Prohibited; information is accurate; you will not engage in unfair/deceptive practices; and neither you nor required owners are sanctioned.

20General

Entire agreement; no unauthorized assignment by you; force majeure; no waiver; severability; independent contractors (not partnership/employment); notices by email to addresses on file / support@speedyfly.io and SpeedyFly’s notice address on the website; English language controls. Affiliates or successors may perform payment/self‑billing functions where disclosed.
